Prérequis

The students should already have a basic knowledge in national company law, European company law and private international law.

Objectifs

At the end of the course, the student should be able to master the main crossborder operations of companies like crossborder transformations, crossborder mergers, crossborder transfert of seat; deal with incorporation of companies in France and abroad; assess the competent jurisdiction and the law applicable to a corporate law issue and deal with insolvency of companies at an international level.

Présentation

The course will build upon major European and national company law aspects in order to offer the students concrete hints with regards to the following aspects :


1. The law applicable to companies within an international environment (lex sociatatis, lex contractus, lex loci delicti) – the course will deal with different concrete issue like liability of directors, fraudulent societies, etc


2. Mergers, Conversions, Incorporations, Transfert of seat, Groups of companies.


3. Insolvency proceedings.
